Terms of Service for Quill

These Terms of Service ("Terms") govern your use of the Quill mobile application ("Quill", "the app", "we", "us", "our"), provided by Adam Kovacovich ("Developer"). By downloading, installing, or using Quill, you agree to these Terms. If you do not agree, do not use the app.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Quill. By using the app, you represent that you meet this requirement.

2. Your account

Quill uses Sign in with Apple for authentication. You are responsible for maintaining the security of the Apple ID associated with your Quill account and for all activity that occurs under your account. Contact us immediately at ajkproductionapps@gmail.com if you suspect unauthorized use.

3. Bank connections via Plaid

Quill integrates with Plaid Inc. ("Plaid") to enable read-only access to your bank accounts and transactions. By connecting a bank account:

  • You authorize Plaid to access, retrieve, and transmit data from your bank on your behalf.
  • You agree to Plaid's End User Privacy Policy at https://plaid.com/legal/#end-user-privacy-policy.
  • You acknowledge that Quill cannot initiate transactions, transfers, or payments on your behalf — it only reads transaction history.
  • You may revoke bank access at any time using Manage Connections in the Banking tab. Revocation removes our stored access token and instructs Plaid to invalidate it with your bank.

Plaid and your bank may have their own terms that apply to this service. We are not responsible for acts or omissions of Plaid, your bank, or any third-party financial institution.

4. Not financial, tax, or legal advice

Quill is an organizational tool. The information it displays, including summaries, reports, subscription detections, approval workflows, and exports, is provided for your convenience and is NOT professional financial, tax, accounting, or legal advice.

  • You are solely responsible for the accuracy of your expense data and for filing accurate tax returns.
  • You should consult a qualified accountant, tax advisor, or attorney for advice on tax deductibility, reimbursement policies, or financial decisions.
  • Automated features (subscription detection, OCR receipt scanning, expense categorization) are best-effort and may produce errors. You are responsible for reviewing and correcting them.

5. Your content

You own the data you enter into Quill (expenses, notes, receipts, etc.). You grant us a non-exclusive, limited license to process your data only as necessary to provide the app's features (sync, export, backup). We do not use your data for any other purpose. See the Privacy Policy for details.

You represent that:

  • The data you upload is yours or you have permission to upload it.
  • Your data does not violate any law or third-party rights.
  • Receipts and images you capture do not contain other people's private information except as authorized.

6. Acceptable use

You agree not to:

  • Use Quill for any illegal purpose, fraudulent activity, or to launder money.
  • Reverse engineer, decompile, or attempt to extract source code from the app, except where permitted by law.
  • Interfere with or disrupt the backend service (rate limits, security measures, etc.) or other users' use of the app.
  • Use Quill to access bank accounts that do not belong to you or that you are not authorized to access.
  • Resell, rent, or redistribute Quill.

7. Subscription and payment (if applicable)

Quill is currently free to use. We may introduce paid features in the future; any pricing changes will be communicated in-app before they take effect.

8. Availability

We aim to keep Quill and its backend available but do not guarantee uninterrupted service. Planned maintenance, network outages, Apple platform issues, Plaid outages, or bank-side issues may affect availability. We are not liable for outages outside our control.

9. Termination

You may stop using Quill at any time by deleting the app. You may request full deletion of your backend data by emailing ajkproductionapps@gmail.com. We may suspend or terminate your access to the backend if you violate these Terms, abuse the service, or if required by law.

Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, governing law) will survive.

10. Disclaimer of warranties

Quill is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be error-free, that defects will be corrected, or that the app or backend are free of viruses or harmful components.

11. Limitation of liability

To the fullest extent permitted by law, Adam Kovacovich incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or use, arising out of or relating to your use of Quill, even if advised of the possibility of such damages. Our total liability to you for all claims relating to Quill shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $50.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of Quill, your violation of these Terms, or your violation of any third-party rights.

13. Governing law and disputes

These Terms are governed by the laws of New York, USA, without regard to conflict-of-laws rules. Disputes arising under these Terms shall be resolved exclusively in the courts of Suffolk County, New York.

14. Changes to these Terms

We may update these Terms as the app evolves. The "Last updated" date will reflect the current version. Material changes will be announced in-app. Continued use of the app after a change constitutes acceptance.
